These Terms and Conditions of Enrollment (“Terms”) govern your enrollment in and participation in
The Leader Café Club®™ (“The Club”), a leadership development program owned and operated by
POVC Group Inc., doing business as POV Collaborative, Inc.® (“POVC,” “we,” “our,” or “us”), a
California corporation.
By enrolling in The Leader Café Club, completing registration, or accessing any course, content, or
community on our learning platform (hosted by LearnWorlds), you agree to be bound by these
Terms. If you do not agree, do not enroll or access the program.
The Leader Café Club is a program of POV Collaborative, Inc.® and is governed by the same
parent entity. These Terms apply specifically to The Club and supplement the POV Collaborative
Terms and Conditions of Engagement where applicable

Section 1: THE PROGRAM

1.1 Program Description

The Leader Café Club®™ is a self-paced, online leadership development experience built on The
Leader Café Method™. Courses are delivered through our hosted learning platform (LearnWorlds)
and are designed to support the leadership performance enhancement of working professionals
across industries.
The program is educational and developmental in nature. It does not constitute clinical, therapeutic,
or mental health services. No therapist–client or psychologist–patient relationship is formed through
participation in The Club.

1.2 Platform Delivery

All self-paced course content is delivered via LearnWorlds, a third-party learning management
system. By enrolling, you also agree to comply with LearnWorlds’ applicable Terms of Service.
POVC is responsible for program content; LearnWorlds is responsible for platform functionality.
POVC is not liable for platform outages, technical issues, or changes to platform features outside of our control.

1.3 Enrollment

Enrollment is confirmed upon receipt of full payment (or approved payment arrangement) and
creation of your learner account. Access to course content is granted upon enrollment confirmation.
Some cohorts or program tiers may have limited availability; enrollment is on a first-confirmed basis

1.4 Program Changes

POVC reserves the right to update, revise, or enhance course content at any time to reflect current
evidence-based practices, organizational trends, and program improvements. Material changes that
affect the core scope of an enrolled course will be communicated to active participants in advance.

Section 2: PARTICIPANT CONDUCT AND ELIGIBILITY

2.1 Eligibility
The Leader Café Club is designed for working professionals in leadership roles or actively
preparing for leadership responsibility. By enrolling, you represent that you are at least 18 years of
age and have the legal capacity to enter into these Terms.

2.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity
that occurs under your account. You agree not to share your login credentials or allow others to
access your account. Each enrollment is for individual use only and is non-transferable unless
expressly authorized in writing by POVC.

2.3 Community Standards
The Leader Café Club fosters a high-trust learning environment. Participants agree to engage with
integrity, respect fellow participants, and uphold the professional standards consistent with the
program’s values. POVC reserves the right to remove any participant who engages in conduct that
is disruptive, disrespectful, discriminatory, or otherwise incompatible with the program’s learning
environment, without refund of fees paid.

Section 3: FEES AND PAYMENT

3.1 Pricing
Course and program fees are listed at the time of enrollment. All fees are in U.S. dollars. POVC
reserves the right to change pricing at any time; price changes do not apply retroactively to
confirmed enrollments.

3.2 Payment Processing
Payments are processed through the LearnWorlds platform and its integrated payment processors.
POVC does not store payment card information. By completing a transaction, you also agree to the
payment terms of the applicable payment processor.

3.3 Payment Plans
Where payment plan options are offered, the full enrollment fee is committed upon initiation of the
plan. Failure to complete scheduled payments may result in suspension of access until the balance
is resolved. Accounts more than thirty (30) days in arrears may be referred for collections.

Section 4: ACCESS AND COURSE COMPLETION

4.1 Course Access Period
Unless otherwise specified at enrollment, self-paced course access is provided for twelve (12)
months from the date of enrollment. POVC may offer access extensions at its discretion. Access
periods are not paused due to participant inactivity.

4.2 No Completion Guarantee
Participant outcomes depend on individual engagement, effort, and application. POVC does not
guarantee that participation in The Leader Café Club will result in specific professional outcomes,
promotions, performance improvements, or other results. The program is designed to support
development; results are the participant’s responsibility to pursue.

4.3 Certificates
Where certificates of completion are offered, they are issued upon satisfactory completion of the
applicable course requirements as defined within the course. Certificates represent program
completion and are not academic credentials or professional licensure.

Section 5: INTELLECTUAL PROPERTY

5.1 Ownership of Content
All course materials, frameworks, videos, workbooks, assessments, exercises, and other content
available through The Leader Café Club are the exclusive intellectual property of POVC Group Inc.
This includes but is not limited to The Leader Café Method™, The Leader Café Club®™, and all
associated frameworks and materials.

5.2 Permitted Use
Upon enrollment, you are granted a limited, personal, non-exclusive, non-transferable license to
access and use course materials for your own professional development. You may not reproduce,
distribute, share, publish, sell, sublicense, or create derivative works from any course content
without the prior written consent of POVC.

5.3 Prohibited Uses
The following are expressly prohibited:
– Sharing, recording, or distributing course content or login credentials
– Using course content to develop competing programs or training materials
– Presenting POVC frameworks or methodologies as your own in commercial contexts
– Screen-capturing, downloading, or archiving course videos without written consent

SECTION 6: PRIVACY

Your privacy is important to us. The collection, use, and protection of your personal information is
governed by The Leader Café Club Privacy Policy, which is incorporated into these Terms by
reference. By enrolling, you agree to the terms of the Privacy Policy. Please review it carefully at
TheLeaderCafe.club or by contacting Concierge@TheLeaderCafe.club.
LearnWorlds, as our platform provider, also processes certain data in connection with your account
and course activity. Please review LearnWorlds’ Privacy Policy for information on how they handle
your data

SECTION 7: LIMITATION OF LIABILITY AND DISCLAIMER

7.1 No Clinical Services
The Leader Café Club provides professional development education. It does not provide
psychotherapy, counseling, or clinical mental health services. No therapist–patient relationship is
created through enrollment or participation.

7.2 Limitation of Liability
To the maximum extent permitted by applicable law, POVC’s total liability for any claim arising from
your enrollment or participation in The Leader Café Club shall not exceed the total fees you paid for
the specific course giving rise to the claim. POVC shall not be liable for indirect, incidental,
consequential, special, or punitive damages.

7.3 Platform Availability
POVC does not warrant uninterrupted access to LearnWorlds or any third-party platform. We are
not responsible for data loss, technical failures, or service interruptions attributable to the platform
provider or to circumstances outside our reasonable control.

SECTION 8: TERMINATION OF ACCESS

8.1 By POVC
POVC reserves the right to suspend or terminate a participant’s access to The Club at any time for
violation of these Terms, non-payment, or conduct incompatible with the program’s standards. In
the event of termination for cause, no refund of fees paid will be issued.

8.2 By Participant
You may discontinue participation at any time. Refund eligibility is governed by the Refund Policy.
Discontinuing participation does not relieve you of any outstanding payment obligations.

SECTION 9: GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of California, without regard to conflict of law
principles. Any dispute arising out of or related to your enrollment or these Terms shall first be
submitted to good-faith negotiation, followed by non-binding mediation in Los Angeles County,
California. If unresolved, disputes shall be heard in the state or federal courts of Los Angeles
County, California, to whose jurisdiction you consent.

SECTION 10: GENERAL PROVISION

10.1 Entire Agreement
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement
between you and POVC with respect to your participation in The Leader Café Club.

10.2 Amendments
POVC reserves the right to update these Terms at any time. Material changes will be
communicated to enrolled participants via email to the address on file. Continued access following
notice of updated Terms constitutes acceptance.

10.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain
in full force and effect.

10.4 Independent Contractor
Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship
between you and POVC.
